PGSync Pro — Commercial License Terms¶

These terms govern use of PGSync Pro ("the Software"), a proprietary extension to the open-source PGSync project. The open-core PGSync project is licensed separately under the MIT license and is unaffected by these terms.
1. Definitions¶
- Organization — a single legal entity and its wholly-owned subsidiaries, and the infrastructure it operates. Separate legal entities, and any third parties you provide services to, are not included.
- Subscription — an active, paid plan (monthly or annual) for the Software.
- Software — the
pgsync-propackage and its documentation, delivered via a private package index.
2. License grant¶
Subject to an active Subscription and these terms, we grant the Organization a non-exclusive, non-transferable, worldwide license to install and use the Software on the Organization's own infrastructure for its internal business purposes.
3. Restrictions¶
The Organization shall not: (a) redistribute, resell, sublicense, publish, or otherwise make the Software available to any third party; (b) use the Software to provide a competing product; (c) remove or alter proprietary notices; or (d) share private-index credentials outside the Organization.
Reading the Software's source (it is distributed as Python) is permitted for the Organization's own use; copying, reimplementing, or creating derivative works from it is not.
4. Fees & term¶
Fees are as listed at purchase and billed by our payment provider, Polar, acting as Merchant of Record. The Subscription renews automatically until cancelled. Monthly plans may be cancelled at any time, effective at the end of the current period. No refunds are provided except where required by law; statutory consumer rights are honored.
5. Termination & effect¶
The license terminates when the Subscription lapses or on material breach. On termination the private-index token is revoked; a version already installed may continue to run, but the Organization may no longer install, upgrade, or receive support, and Sections 3, 6, 7, and 8 survive.
6. Updates & support¶
While the Subscription is active, the Organization receives product updates and email support (business-day response).
7. Warranty disclaimer¶
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of liability¶
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IS LIMITED TO THE FEES PAID FOR THE SUBSCRIPTION IN THE 12 MONTHS BEFORE THE CLAIM, AND WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. Nothing in these terms excludes liability that cannot be excluded under applicable law.
9. Data¶
The Software runs in the Organization's own infrastructure and sends us no usage data (see our Privacy Policy). Where a hosted embedding provider is opted into, data sent to it is governed by that provider's terms.
10. Governing law¶
These terms are governed by the laws of England and Wales, without regard to conflict-of-laws rules. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to these terms.
